1. Scope and provider
(1) These General Terms and Conditions apply to the TradeOps (International Trade Operations) service provided by aiconetworks. The provider is Inanc Armitli, trading as aiconetworks, Bendorfer Straße 31, 56191 Weitersburg, email: info@aiconetworks.de.
(2) TradeOps is intended exclusively for business customers (entrepreneurs (Unternehmer) within the meaning of Section 14 BGB (German Civil Code)), particularly industrial businesses in Türkiye and Southern Europe. No contracts are entered into with consumers.
(3) Under Section 305b BGB, individual agreements take precedence over these General Terms and Conditions.

2. TradeOps services
(1) TradeOps searches sources in the European Union daily for machines for you. These include industrial auctions, insolvency proceedings, factory clearances, and dealer and warehouse inventories. The assessment includes a recommended maximum bid, a calculated delivered price and a comparison value.
(2) aiconetworks coordinates collection, interim storage in Germany, consolidation into lorry loads, the export declaration (EX-A), the A.TR movement certificate, the packing list, the CMR consignment note and liaison with your customs broker.
(3) For each transport, aiconetworks engages a freight forwarder in its own name and for its own account and pays that freight forwarder. The transport is carried out by the engaged freight forwarder or its carrier. aiconetworks coordinates the processes but does not itself transport the goods or carry out customs clearance.
(4) TradeOps does not provide legal, tax or business advice within the meaning of the respective laws governing those professions.
3. Two routes: you bid yourself or purchase through aiconetworks
(1) Route A – you bid yourself: You bid yourself and enter into the sale contract directly with the seller or auction house. aiconetworks is not the seller of the machine but subsequently coordinates collection, transport and export documentation. We do not charge a markup on the goods.
(2) Route B – purchase through aiconetworks: aiconetworks purchases the machine in its own name and for its own account and resells it to you. In relation to the original seller, aiconetworks is itself the buyer and is obliged to pay. You owe aiconetworks the purchase price under the separate resale transaction. This is not a commission transaction (Kommission).
(3) Under Route B, following the purchase, transport to the warehouse in Neuwied is coordinated by aiconetworks. We then coordinate export clearance under the simplified procedure and loading for delivery to you. The agreed markup is charged on the goods; its amount is specified in the quotation.
4. Recommendations, maximum bids and comparison values
(1) The recommended maximum bid, calculated delivered price, calculated savings and comparison value are non-binding recommendations and calculations. There is no entitlement to acceptance of a bid by the auctioneer.
(2) This non-binding nature applies to the preliminary calculation, not to prices already agreed by contract.
(3) The comparison value is based on dealer offers for comparable machines and is adjusted for the year of manufacture and condition. It is neither an official nor a guaranteed market price.
(4) The absence of any guarantee as to price, savings or acceptance of a bid by the auctioneer does not exclude liability for culpable breaches of duty under Section 13.
5. Information about the machines
(1) Information on dimensions, weights, year of manufacture, condition, operating hours and functionality is provided by the respective seller or auction house. aiconetworks uses this information without verifying it on site. Subject to any expressly agreed characteristics (vereinbarte Beschaffenheiten), guarantees given and liability under Section 13, we accept no liability for its accuracy.
(2) We identify imprecise information as such. At your request, we will ask the seller for clarification.
(3) Unless otherwise agreed, used machines are sold in their existing condition ('as seen'). This does not imply that aiconetworks has inspected the machine. Section 12 applies to claims for defects (Mängelansprüche).
(4) aiconetworks passes on to you the notices and terms of the relevant sales platform relating to the lot concerned. These are also intended to apply to the relationship with you, to the extent that they have been validly incorporated into the contract. Individual agreements continue to take precedence.
6. Bidding instructions and prepaid credit balances
(1) For Route B, aiconetworks submits bids only if you have first paid funds into your prepaid credit account. A bidding instruction may only be given up to the amount of your available prepaid credit balance.
(2) aiconetworks places bids as maximum bids. aiconetworks does not submit bids automatically.
(3) Following the award, the purchase price payable on the resale will be set off against your prepaid credit balance. We will refund any unused prepaid credit balance at your request.
7. Prices and payment
(1) The delivered price comprises the machine's hammer price, meaning the purchase price achieved at auction, including the buyer's premium and the auction house's incidental costs, the aiconetworks goods markup agreed for Route B, the allocated transport costs based on loading metres (LDM) and the costs of export documents. Under Route A, you purchase and pay for the machine directly from the seller; aiconetworks does not charge a goods markup.
(2) All prices are net prices in euros, plus statutory VAT where applicable. An export supply is exempt from VAT only if all statutory requirements are met; proof of export alone is not sufficient. Under Route A, aiconetworks does not itself make an export supply of the machine.
(3) aiconetworks bills transport and export documents for each shipment by means of a quotation or pro forma invoice. Additional costs under Section 9 are billed separately.
8. Transport, consolidation and delivery time
(1) aiconetworks coordinates the collection of lots from a region, their interim storage in Germany and their consolidation into lorry loads. Transport is carried out by the appointed freight forwarder or its carrier.
(2) Interim storage takes place at a warehouse in Neuwied. aiconetworks rents warehouse space there from a freight forwarding company on a monthly basis as required.
(3) The lorry departs no later than 14 days after the purchase, even if it is not fully loaded. If it is fully loaded earlier, it departs at that earlier time. This departure deadline is binding.
(4) The subsequent transit time depends on the freight forwarder and border clearance. Information on transit time is indicative and does not constitute binding arrival dates. It does not alter the departure deadline. Statutory rights arising from default (Verzug) or other breaches of duty remain unaffected.
(5) You pay your share of the transport costs based on the loading space occupied by your shipment, measured in loading metres, even if the lorry is not fully loaded.
(6) The freight forwarding company is liable for damage in the warehouse in its capacity as warehouse keeper (Lagerhalter), subject to its terms and conditions. This does not exclude any statutory or contractual liability of aiconetworks itself.
9. Additional costs for transport and border clearance
(1) Additional costs may arise during transport and border clearance that are not included in the delivered price. These include, in particular, costs for lorry waiting and standing times (demurrage / waiting charges), discrepancies in weight or dimensions compared with the seller's specifications, corrections to or subsequent submission of documents, charges and inspections at the border, and additional loading or load securing.
(2) You bear these additional costs. The only exception is additional costs caused by aiconetworks' own fault.
(3) aiconetworks provides evidence of the additional costs by means of the invoice or supporting document issued by the freight forwarder or the authority and bills them separately.
(4) For groupage shipments, shared additional costs are allocated among the customers involved according to loading metres (LDM).
(5) aiconetworks coordinates transport and the arrangements for border clearance but does not itself carry out transport or customs clearance. Legal responsibility is not determined solely by who actually carries out these activities.
10. Export, import and permits
(1) aiconetworks coordinates the export documents and the arrangements with your customs broker. We do not carry out export or import clearance ourselves. aiconetworks' own mandatory obligations under public law remain unaffected.
(2) The A.TR movement certificate serves as evidence that goods are in free circulation for customs purposes within the customs union between the European Union and Turkey. As a rule, it is not proof of origin, does not apply to all goods and does not guarantee exemption from duties and taxes.
(3) You bear the import duties and taxes in the destination country, for example customs duty and KDV in Turkey, as well as the costs of your customs broker. You must obtain any required import permits, particularly for used machinery, yourself and at your own expense.
(4) Before the purchase, we inform you if an import permit is likely to be required. We give no guarantee as to this assessment. Liability for a culpable breach of our own obligations under Section 13 remains unaffected.
(5) aiconetworks may refuse performance if export restrictions or sanctions prevent such performance. The statutory consequences for counter-performance (Gegenleistung), repayment and damages remain unaffected; this does not give rise to any blanket right to retain prepaid credit balances.
11. Passing of risk and retention of title
(1) Under Route B, the machine remains the property of aiconetworks until payment has been made in full.
(2) Under Route A, you acquire the machine directly from the seller. The passing of risk under that purchase contract must be distinguished from responsibility for the services subsequently undertaken by aiconetworks.
12. Defects in used machinery
(1) Under Route B, unless otherwise agreed, used machines are sold in their existing condition ('as seen'), with reference to the information and notices passed on from the relevant sales platform. The warranty for defects (statutory liability for defects) is excluded to the extent permitted by law; the exceptions in paragraph 2 remain unaffected.
(2) The exclusion does not apply where a defect has been fraudulently concealed or a guarantee has been given. Nor does it apply to claims for damages arising from wilful misconduct, gross negligence, death, bodily injury or damage to health, or to mandatory statutory claims. This also applies where legal representatives or persons engaged to perform contractual obligations (Erfüllungsgehilfen) bear corresponding responsibility. Liability under Section 13 remains unaffected.
(3) Individual agreements on quality and characteristics (Beschaffenheitsvereinbarungen) are not overridden by the general exclusion of liability for defects.
(4) Under Route A, claims for defects under sales law lie exclusively against your seller. Under this Route, aiconetworks is not the seller of the machine. Liability for its own obligations is governed by Section 13.
13. Liability
(1) aiconetworks has unlimited liability for intent and gross negligence and for loss of life, bodily injury or damage to health.
(2) In the event of a breach of material contractual obligations (wesentliche Vertragspflichten) caused by minor negligence (leichte Fahrlässigkeit), our liability is limited to foreseeable loss or damage typical of the contract. Material contractual obligations are obligations whose performance is essential for the proper performance of the contract and on whose fulfilment you may ordinarily rely. In all other cases, liability for minor negligence is excluded.
(3) The statutory rules on attributing the conduct of legal representatives and persons engaged to perform contractual obligations (Erfüllungsgehilfen) remain unaffected. This applies in particular where service providers are engaged to perform aiconetworks' own contractual obligations.
(4) Mandatory statutory liability, in particular under product liability law and mandatory transport law, is not limited by these General Terms and Conditions. Mandatory provisions of transport law take precedence over the general liability provisions.
(5) The carrier is liable for damage in transit under the CMR to the extent that it applies. The weight-based limits of liability for loss or damage provided for in the CMR are subject to exceptions; different rules apply to delay. The reference to the carrier's liability does not exclude any liability of aiconetworks itself.
(6) aiconetworks will take out cargo insurance only at your express request and at your expense. The existence or absence of this insurance does not alter our statutory or contractual liability.
14. Data protection
(1) Information on the processing of personal data is available in aiconetworks' privacy notice at https://aiconetworks.de/datenschutz/.
15. Amendments to these General Terms and Conditions
(1) Merely publishing a new version of these General Terms and Conditions does not amend contracts already concluded. The version validly agreed for the relevant contract governs unless a valid amendment agreement is entered into.
16. Final provisions
(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Mandatory statutory provisions remain unaffected.
(2) The exclusive place of jurisdiction for disputes arising out of or in connection with the contractual relationship is Koblenz if you are a merchant (Kaufmann), a legal person under public law or a customer with no general place of jurisdiction (allgemeiner Gerichtsstand) in Germany. aiconetworks is also entitled to bring proceedings against you at your registered office. This agreement applies only to the extent permitted by law. Mandatory jurisdiction rules, in particular places of jurisdiction under the CMR that cannot be derogated from by agreement, remain unaffected.
(3) The German version of these General Terms and Conditions prevails. Translations, in particular into Turkish and English, are provided for information only.
(4) If any provision of these General Terms and Conditions is wholly or partially invalid, the validity of the remainder of the contract and the consequences of that invalidity are governed by the statutory provisions. The statutory provisions replace the invalid provision.
